These Terms of Use "Terms" constitute a legally binding agreement between Beautynavigator LLC Beautynavigator, "Beautynavigator.com" "we," "us," or "our" and the person or legal entity accessing or using the Beautynavigator.com platform "User," "Member," "you," or "your".
By accessing, registering for, claiming, administering, or using any Beautynavigator.com service, you acknowledge that you have read, understood and agreed to these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not create an account or use services that require acceptance of these Terms.
1. The Beautynavigator.com Platform
Beautynavigator.com is a global business-to-business information, discovery, networking, marketing, sourcing and business-services platform.
The platform may include, among other things:
- business directory listings;
- company and professional information;
- business search and discovery;
- business profiles;
- member registration and account services;
- internal messaging and InMail-style communications;
- catalogs and catalog distribution;
- advertising and promotional services;
- requests for information and quotations;
- sourcing opportunities;
- purchase opportunities;
- auctions and reverse auctions;
- artificial-intelligence-assisted tools;
- automated business-information processing;
- business introductions and networking services; and
- other current or future B2B applications and services.
Beautynavigator may modify, expand, discontinue or introduce services, features and technologies from time to time.
2. The Beautynavigator.com Directory
Beautynavigator has developed and maintained business information through extensive industry experience and business-information activities extending over many years.
Directory information may originate from, among other sources:
- trade magazines and publications;
- trade shows and exhibitions;
- professional and industry directories;
- business portals;
- company websites;
- public business information;
- professional sources;
- historical Beautynavigator information;
- business relationships and industry contacts;
- commercially available information; and
- other lawful sources.
Beautynavigator may use automated technologies and artificial-intelligence-assisted technologies to identify, update, verify, standardize, organize, enrich and improve business information.
A company may appear in the Beautynavigator directory without having registered for a Beautynavigator account and without having expressly endorsed or approved its listing.
The appearance of a company in the directory does not necessarily mean that the company is a Beautynavigator member, customer, advertiser, partner or sponsor.
Beautynavigator does not guarantee that directory information is complete, current, accurate or error-free.
Businesses may contact Beautynavigator to request correction or updating of inaccurate information and, where applicable, exercise rights available under applicable law.
3. Directory Information Is Not an Endorsement
A directory listing does not constitute:
- an endorsement;
- certification;
- accreditation;
- recommendation;
- guarantee;
- verification of quality;
- guarantee of financial standing;
- guarantee of regulatory compliance;
- guarantee of product safety;
- guarantee of intellectual-property rights;
- guarantee of business performance; or
- guarantee that a listed company will fulfill any commercial obligation.
Users must conduct their own due diligence before entering into any commercial relationship.
4. Registration and Accounts
Certain features require registration.
You agree to provide information that is accurate, current and not misleading and to update information when reasonably necessary.
You are responsible for maintaining the confidentiality of your account credentials and for activities occurring through your account.
You must notify Beautynavigator promptly if you believe that your account has been compromised or used without authorization.
Beautynavigator may refuse, suspend or terminate an account where reasonably necessary to protect the platform, its users, third parties or comply with applicable law.
5. Business Communications
Beautynavigator may provide tools through which businesses communicate with one another.
Depending upon applicable law, platform configuration and your communication preferences, communications may include:
- business inquiries;
- member messages;
- InMail-style communications;
- catalog invitations;
- product and service offers;
- supplier information;
- buyer requests;
- requests for quotation;
- sourcing opportunities;
- purchase opportunities;
- purchase orders;
- auctions;
- reverse auctions;
- invitations to participate in commercial opportunities;
- business introductions;
- platform announcements; and
- other B2B communications.
Beautynavigator may establish communication preferences, eligibility rules, geographic restrictions, frequency limits and other controls.
You understand that a communication originating from another Member is a communication from that Member. Beautynavigator is not necessarily the seller, buyer, manufacturer, distributor or contracting party in any transaction resulting from such communication.
6. Member Responsibility for Communications
Members are solely responsible for communications they create, approve, initiate or distribute.
Members must not use Beautynavigator to send communications that are:
- unlawful;
- deceptive;
- misleading;
- fraudulent;
- defamatory;
- abusive;
- discriminatory;
- threatening;
- infringing;
- malicious;
- excessively repetitive;
- unrelated to legitimate business activity; or
- otherwise prohibited by Beautynavigator policies or applicable law.
Members are responsible for determining whether they have the legal right to contact a recipient.
Beautynavigator may restrict, suspend or terminate communication privileges where it reasonably believes that a Member has violated these Terms, applicable law or platform policies.
7. Marketing Communications
Beautynavigator may send marketing communications to registered Members and, where permitted by applicable law and an appropriate legal basis exists, to non-registered business contacts.
Marketing communications may promote:
- Beautynavigator;
- Beautynavigator services;
- Member businesses;
- products and services;
- catalogs;
- sourcing opportunities;
- auctions;
- reverse auctions;
- business opportunities;
- industry information; or
- other B2B commercial activities.
All marketing activity remains subject to applicable privacy, electronic-communications, advertising and direct-marketing laws.
Registration does not constitute a waiver of any statutory privacy or marketing right that cannot lawfully be waived.
Recipients may exercise applicable rights and opt out of marketing communications using the mechanisms provided by Beautynavigator.
8. Catalogs and Promotional Content
Members may create, upload, publish or distribute catalogs and promotional materials.
Members are solely responsible for:
- the accuracy of catalog information;
- product descriptions;
- prices;
- specifications;
- availability;
- claims;
- images;
- trademarks;
- certifications;
- regulatory statements;
- intellectual-property rights; and
- all other content submitted or approved by the Member.
Beautynavigator does not independently verify every statement contained in Member catalogs.
A catalog does not constitute an endorsement or guarantee by Beautynavigator.
9. Artificial Intelligence and Automated Tools
Beautynavigator may provide artificial-intelligence-assisted and automated tools.
AI-assisted tools may assist with:
- catalog creation;
- descriptions;
- categorization;
- translation;
- data enrichment;
- business classification;
- search;
- recommendations;
- marketing content;
- business matching;
- summaries;
- other current or future functions.
AI-generated or AI-assisted output may contain errors, omissions, inaccuracies or inappropriate content.
Members are responsible for reviewing and approving AI-assisted content before publication or distribution when such review is reasonably appropriate.
Members remain responsible for ensuring that their content and commercial activities comply with applicable law.
Beautynavigator does not guarantee that AI-generated or AI-assisted content is accurate, complete, non-infringing or suitable for a particular purpose.
10. Member Authorization for Platform Distribution
By submitting content for publication or distribution through Beautynavigator, the Member grants Beautynavigator a non-exclusive, worldwide, royalty-free license, to the extent necessary to operate and promote the platform, to host, reproduce, format, display, transmit, distribute and otherwise process that content through Beautynavigator services.
This may include displaying or distributing an approved catalog to relevant businesses through Beautynavigator communication systems, subject to applicable law and communication preferences.
Beautynavigator does not obtain ownership of a Member's underlying intellectual property merely because the Member submits it to the platform.
11. Intellectual Property and Proprietary Technology
Except for Member Content and third-party materials, the Beautynavigator platform and its underlying and associated technology, software, source code, object code, databases, database structure and organization, compilations, taxonomies, workflows, algorithms, artificial-intelligence-assisted tools, designs, interfaces, graphics, text, documentation, business methods, features, functionality, trademarks, logos, trade names and other proprietary materials are owned by or licensed to Beautynavigator and are protected by applicable copyright, trademark, trade-secret and other intellectual-property laws.
Subject to these Terms, Beautynavigator grants Users a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the platform solely for legitimate internal business purposes and for the intended use of Beautynavigator services. No ownership or intellectual-property rights are transferred to a User by reason of access to or use of the platform.
Except to the extent a restriction is prohibited by applicable law, Users may not:
- copy, reproduce, modify, adapt, translate or create derivative works from Beautynavigator proprietary software, platform elements or documentation except as expressly authorized;
- reverse engineer, decompile, disassemble, decode, attempt to derive or discover source code, underlying structure, algorithms, models, prompts, methods or non-public technical information relating to the platform or its proprietary software;
- circumvent, disable or interfere with technical, security, access-control or usage-limitation measures;
- scrape, harvest, systematically extract, download or reproduce Beautynavigator databases, directory information or other platform content except through functionality expressly provided or authorized by Beautynavigator;
- use Beautynavigator proprietary technology, content, data or non-public information to develop, train, benchmark or improve a competing product, service, database, model or platform without Beautynavigator's prior written authorization;
- sell, license, sublicense, rent, lease, redistribute or commercially exploit Beautynavigator proprietary software, platform access or database content except as expressly permitted by Beautynavigator; or
- remove, obscure or alter copyright, trademark, proprietary-rights or attribution notices appearing on or through the platform.
Member Content remains subject to Section 10 and, as stated there, Beautynavigator does not obtain ownership of a Member's underlying intellectual property merely because the Member submits content to the platform.
12. Transactions Between Members
Beautynavigator provides technology and business tools that may facilitate business discovery, introductions, communications, catalog creation and distribution, marketing, sourcing, requests for information or quotation, purchase opportunities, purchase orders and other commercial interactions between buyers, sellers, suppliers, manufacturers, retailers, distributors and other businesses.
Beautynavigator acts as a platform and facilitator. Unless Beautynavigator expressly states otherwise for a specific service, Beautynavigator is not the seller, buyer, reseller, distributor, merchant of record, payment processor, or contracting party in any transaction between Members. A transaction resulting from use of the platform is entered into directly between the applicable buyer and seller or other contracting parties.
Members are solely responsible for negotiating, agreeing to and performing the commercial terms of their transactions, including:
- negotiating terms;
- verifying counterparties and conducting appropriate due diligence;
- product or service descriptions, specifications, compliance and availability;
- pricing and quantities;
- shipping, delivery and fulfillment;
- invoicing and payment terms;
- collecting and making payment;
- refunds, returns, warranties and chargebacks;
- taxes, duties and other governmental charges;
- customs and import or export requirements;
- insurance;
- regulatory requirements; and
- all other contractual obligations between the parties.
Unless Beautynavigator expressly provides otherwise for a specific service, payment for goods or services is made directly between the applicable buyer and seller. Beautynavigator does not collect, hold, transmit, guarantee or settle payments between Members and is not responsible for late payment, non-payment, chargebacks, insolvency, fraud, or the failure of a Member to perform its contractual obligations.
Each seller, vendor or service provider is responsible for determining, collecting, reporting, remitting and paying any sales tax, value-added tax (VAT), goods and services tax (GST), use tax, excise tax, customs duty, withholding tax or other tax or governmental charge applicable to its transactions. Buyers are responsible for taxes, duties, reporting obligations or governmental charges imposed upon them. Except where required by applicable law with respect to fees charged directly by Beautynavigator for its own services, Beautynavigator does not calculate, collect, withhold or remit taxes arising from transactions between Members.
Beautynavigator does not ordinarily charge a commission on sales or transactions resulting from catalogs, marketing activities, sourcing tools, requests for information or quotation, purchase orders or other standard platform functions. Beautynavigator's compensation is primarily derived from subscription fees and, where applicable, credits, tokens or usage fees for artificial-intelligence-assisted tools, digital services and other platform functionality. These fees are charged for access to or use of Beautynavigator services and are separate from the value of any underlying transaction between Members.
Beautynavigator does not guarantee that a transaction will be completed, that a buyer will make payment, that a seller will deliver goods or services, or that either party will perform its contractual obligations. Disputes concerning payment, delivery, quality, conformity, refunds, warranties or performance must be resolved between the applicable Members, subject to any rights or remedies available under applicable law.
13. Auctions and Reverse Auctions
Where Beautynavigator provides auction or reverse-auction functionality, the applicable auction or reverse-auction rules may contain additional eligibility requirements, procedures, fee schedules and commercial terms. Members participating in these services remain responsible for their bids, offers, representations, awards and contractual obligations.
Auctions and reverse auctions are exceptions to Beautynavigator's general no-commission model. Beautynavigator may charge the applicable vendor, supplier, buyer or other participating Member a transaction-based fee or percentage associated with a completed auction or reverse auction, including a fee based on price improvement, value created or verified savings. The applicable fee, calculation method and party responsible for payment will be disclosed in the applicable auction or reverse-auction terms, rules or fee schedule.
Any fee payable to Beautynavigator for an auction or reverse auction is a fee for the applicable Beautynavigator service and is separate from the underlying sale, purchase or supply contract between Members. Charging such a fee does not make Beautynavigator the seller, buyer, merchant of record or contracting party to the underlying transaction.
Beautynavigator may cancel, suspend or restrict an auction or reverse auction where reasonably necessary for security, fraud prevention, technical reasons, suspected abuse or legal compliance.
14. Subscriptions, Fees, Credits, Billing, Cancellation and Refunds
Certain Beautynavigator services require a paid subscription, credits, tokens, usage fees, auction fees, reverse-auction fees or other charges disclosed at the time of purchase or participation.
Subscription fees are billed for the applicable subscription period and provide access to the features and services included in the selected plan during that period. Unless otherwise stated for a particular plan, subscriptions continue for successive billing periods until canceled.
A Member may cancel a subscription at any time. Cancellation becomes effective at the end of the Member's then-current paid subscription period. The Member may continue to use the paid subscription through the end of that period, subject to these Terms. Cancellation does not entitle the Member to a refund or credit for any unused portion of the current subscription period.
Subscription fees, credits, tokens, usage fees and other amounts paid to Beautynavigator are non-refundable except where a refund is expressly required by applicable law or expressly agreed to in writing by Beautynavigator.
Purchased or allocated credits and tokens may be used for eligible Beautynavigator services in accordance with the applicable plan or service rules. An unused credit or token balance will roll over while the applicable paid subscription remains active and paid in good standing, unless different terms are expressly disclosed for a particular credit or service.
If a subscription is canceled, terminated, suspended, halted for non-payment, or otherwise ceases to remain active and paid, any unused credits or tokens associated with that subscription are not redeemable for cash and are not eligible for refund, reimbursement or payment. Beautynavigator may restrict use of such credits or tokens after the subscription ends, subject to applicable law and any specific terms disclosed when the credits were purchased.
Members are responsible for maintaining valid billing information and paying Beautynavigator fees when due. Beautynavigator may suspend or restrict paid features, services, credits or account functionality for overdue or failed payments, subject to applicable law.
Beautynavigator may change subscription prices, credit pricing, usage fees or other service fees from time to time. For an existing paid subscription, a change to recurring subscription pricing will apply no earlier than the Member's next renewal period after reasonable notice, unless the Member affirmatively agrees to an earlier change.
Members are responsible for taxes, duties or governmental charges imposed on their purchase or use of Beautynavigator's own services, except for taxes imposed on Beautynavigator's net income or taxes that Beautynavigator is legally required to collect and remit. Where Beautynavigator is required by law to collect an applicable tax on its own fees, that tax may be added to the amount charged.
Auction and reverse-auction commissions or fees are earned, due and payable to Beautynavigator when the applicable auction or reverse auction is awarded and closed in accordance with the applicable auction rules. Such fees are separate from the underlying transaction between Members and remain payable to Beautynavigator notwithstanding the timing or method of payment, invoicing, delivery or performance between the buyer and seller, except where the applicable auction rules expressly provide otherwise.
15. Prohibited Uses
Users may not use Beautynavigator to:
- harvest or extract data for unlawful purposes;
- circumvent platform security;
- distribute malware;
- impersonate another person or business;
- create fraudulent business profiles;
- transmit deceptive commercial communications;
- engage in unlawful spam;
- infringe intellectual-property rights;
- interfere with the operation of the platform;
- reverse engineer, decompile, disassemble or otherwise attempt to derive source code or non-public technical information except to the extent such restriction is prohibited by applicable law;
- use automated access mechanisms in violation of Beautynavigator policies;
- sell or redistribute Beautynavigator database information without authorization;
- use directory information in a manner prohibited by applicable law; or
- conduct unlawful or fraudulent transactions.
16. Data and Privacy
Beautynavigator's collection and use of personal information is described in the Beautynavigator Privacy Policy.
Nothing in these Terms is intended to limit rights granted to individuals under applicable data-protection law.
17. Third-Party Services
Beautynavigator may use third-party hosting, communications, analytics, AI, payment, security, email-delivery and other service providers.
Use of third-party services may be subject to additional terms and privacy policies.
18. No Warranty
To the maximum extent permitted by applicable law, Beautynavigator provides the platform and directory on an "as is" and "as available" basis.
Beautynavigator does not warrant that:
- the platform will always be available;
- directory information will always be accurate;
- information will be complete;
- communications will always be delivered;
- AI-generated content will be accurate;
- the platform will be uninterrupted;
- the platform will be free of errors or vulnerabilities; or
- a business relationship will result from use of the platform.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Beautynavigator and its owners, affiliates, officers, directors, employees, contractors and service providers shall not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, or loss of profits, revenue, business opportunities, goodwill, data or business interruption arising from or relating to use of the platform.
To the maximum extent permitted by applicable law, Beautynavigator's aggregate liability arising from or relating to the Platform, these Terms, or any Beautynavigator service shall not exceed the total amount actually paid by the claimant to Beautynavigator during the twelve (12) months immediately preceding the event giving rise to the claim.
For a User who has not paid any fees to Beautynavigator during such twelve (12)-month period, Beautynavigator's aggregate liability shall not exceed US$100.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Member Indemnification
To the maximum extent permitted by applicable law, each Member agrees to defend, indemnify and hold harmless Beautynavigator LLC, its affiliates, officers, directors, employees, contractors, agents and service providers from claims, damages, liabilities, penalties, losses, costs and expenses, including reasonable attorneys' fees, arising out of or relating to:
- the Member's products or services;
- the Member's business activities;
- content submitted or approved by the Member;
- catalogs or advertisements;
- AI-assisted content approved by the Member;
- communications initiated by the Member;
- violation of applicable law;
- infringement of intellectual-property rights;
- violation of privacy or publicity rights;
- fraud or misrepresentation;
- transactions with other Members; or
- breach of these Terms.
21. Suspension and Termination
Beautynavigator may suspend, restrict or terminate access where reasonably necessary because of:
- violation of these Terms;
- unlawful activity;
- fraud;
- security concerns;
- abuse of communications;
- repeated complaints;
- non-payment;
- regulatory requirements; or
- protection of the platform or other users.
22. Changes
Beautynavigator may update these Terms from time to time.
Material changes will be communicated in a manner reasonably appropriate to the circumstances.
Continued use after an effective date may constitute acceptance where permitted by applicable law.
23. Governing Law
These Terms shall be governed by the laws of the state of Florida, without regard to conflict-of-law principles, except where mandatory law provides otherwise.
Subject to any mandatory law that applies notwithstanding these Terms, any legal action or proceeding arising out of or relating to these Terms or the Beautynavigator platform shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party consents to the personal jurisdiction and venue of those courts.
