1. Acceptance of Terms

Welcome to Beautynavigator.com ("BeautyNavigator," "we," "our," or "us").

Beautynavigator.com is a professional industry directory, business intelligence platform, publishing platform, research platform, and information service serving the global beauty, fragrance, cosmetics, skincare, haircare, personal care, wellness, spa, packaging, manufacturing, retail, distribution, and related industries.

By accessing, browsing, registering for, contributing to, or otherwise using Beautynavigator.com and any associated services, applications, databases, directories, content, reports, publications, newsletters, APIs, software, or features (collectively, the "Platform"), you agree to be legally bound by these Terms of Use.

If you do not agree to these Terms, you must immediately discontinue use of the Platform. Your continued use of the Platform constitutes acceptance of these Terms and any future modifications.

2. Description of the Platform

BeautyNavigator provides a variety of services including but not limited to:

• Industry directories, company listings, supplier directories, retailer directories, brand directories, and professional directories.
• Business intelligence services, market research, industry news, editorial content, classifications, taxonomies, trade show coverage, search and discovery tools, educational content, industry reports, networking resources, and business information services.

BeautyNavigator may offer certain services free of charge while reserving the right to introduce premium, subscription-based, sponsored, advertising-supported, or paid services in the future.

Nothing contained within the Platform shall be construed as business advice, legal advice, financial advice, investment advice, professional advice, or endorsement of any listed entity.

3. Sources of Information

Information displayed on the Platform may originate from lawful sources including publicly available information, company websites, public corporate records, government records, public filings, trade show exhibitor lists, industry events, conferences, press releases, marketing materials, public social media profiles, professional networking platforms, industry publications, public catalogs and brochures, voluntary submissions, third-party providers, historical industry databases maintained by BeautyNavigator, and proprietary research conducted by BeautyNavigator.

BeautyNavigator may organize, classify, normalize, standardize, enrich, enhance, and publish information obtained through lawful means.

The inclusion of any company, organization, individual, supplier, retailer, distributor, manufacturer, consultant, professional, service provider, or brand does not constitute endorsement, approval, recommendation, verification, sponsorship, partnership, certification, or affiliation by BeautyNavigator.

3A. Public Information and Directory Publishing Rights

BeautyNavigator operates as an industry directory, business intelligence platform, research platform, publishing platform, and professional information resource.

BeautyNavigator may lawfully collect, organize, classify, standardize, enrich, enhance, compile, publish, and display information obtained from publicly available sources, including company websites, public business records, corporate registrations, trade show exhibitor lists, industry directories, public marketing materials, press releases, public social media profiles, industry publications, public catalogs and brochures, professional networking platforms, public event participation, voluntary submissions, and other publicly accessible sources.

BeautyNavigator may combine publicly available information with proprietary research, historical industry databases, editorial analysis, internal classifications, industry taxonomies, categorization systems, data normalization methodologies, and proprietary enhancement processes.

The publication of company, brand, supplier, retailer, distributor, manufacturer, service provider, consultant, professional, organization, or contact information is intended solely for informational, editorial, educational, business discovery, networking, research, and industry reference purposes.

Except where required by applicable law, inclusion within the Platform does not require prior permission when information has been lawfully obtained from public sources. Companies, organizations, and professionals do not possess a right to prohibit publication of factual business information lawfully obtained from public sources.

BeautyNavigator reserves sole editorial discretion regarding what information is included, displayed, categorized, modified, enhanced, updated, archived, or removed. Requests to update, modify, correct, supplement, or remove information may be considered at BeautyNavigator's discretion but do not create any obligation to alter or remove lawfully obtained information.

The selection, arrangement, classification, categorization, enhancement, normalization, and presentation of information within BeautyNavigator constitute proprietary intellectual property, even where underlying facts originate from public sources.

4. Permitted Use

Users may access the Platform solely for lawful purposes including business discovery, supplier sourcing, industry research, market intelligence, professional networking, educational purposes, editorial purposes, competitive analysis, and personal business use. All use must comply with these Terms and applicable laws.

5. Prohibited Activities

Users may not violate applicable laws or regulations, misrepresent identity, impersonate another person or entity, circumvent security measures, attempt unauthorized access, interfere with Platform operations, reverse engineer Platform functionality, introduce malware or malicious code, mirror Platform content, reproduce substantial portions of Platform content, build competing databases, republish substantial portions of Platform data, redistribute Platform content without authorization, resell Platform information, or exploit Platform content for unauthorized commercial purposes.

6. Automated Access, Scraping, and Data Harvesting Restrictions

Without the prior written authorization of BeautyNavigator, users may not use any automated means to access, collect, monitor, extract, copy, download, harvest, scrape, index, reproduce, store, or distribute information from the Platform.

Prohibited technologies include web scrapers, crawlers, spiders, bots, automated browsers, headless browsers, browser automation software, robotic process automation, data mining tools, automated query systems, monitoring tools, data extraction software, AI agents, autonomous systems, machine learning agents, and retrieval systems.

Users may not bypass or attempt to bypass any technical measures designed to limit automated access. Unauthorized automated access may result in immediate access restrictions, IP blocking, account suspension, permanent bans, legal action, claims for damages, recovery of investigative costs, and injunctive relief.

7. Artificial Intelligence, Machine Learning, and Data Mining Restrictions

Unless expressly authorized in writing by BeautyNavigator, no person or entity may use any portion of the Platform, including directory listings, company records, contact information, metadata, search results, industry classifications, editorial content, research content, publications, reports, taxonomies, database structures, compilations, or business intelligence data, for purposes including training, fine-tuning, benchmarking, evaluating, improving, or developing artificial intelligence systems, machine learning models, large language models, generative AI technologies, AI agents, autonomous systems, embeddings, vector databases, retrieval-augmented generation systems, knowledge graphs, or training datasets.

For the avoidance of doubt, the use of BeautyNavigator content, listings, classifications, metadata, search results, company profiles, contact records, directory structures, taxonomies, database compilations, editorial content, or research materials for retrieval-augmented generation, embeddings, vector databases, knowledge graphs, AI agents, autonomous systems, large language models, machine learning systems, or similar technologies is prohibited without prior written authorization from BeautyNavigator.

BeautyNavigator expressly reserves all rights relating to artificial intelligence, machine learning, automated processing, text and data mining, and future AI technologies. BeautyNavigator may publish machine-readable policies including robots.txt, llms.txt, tdmrep.json, agent manifests, and future AI governance standards, which shall supplement and reinforce these Terms.

8. Intellectual Property Rights

The Platform and all associated content are protected by applicable intellectual property laws. BeautyNavigator and its licensors own all rights, title, and interest in Platform design, software, source code, databases, database structures, directory organization, industry classifications, taxonomies, research methodologies, editorial content, publications, reports, data compilations, search functionality, branding, logos, trademarks, service marks, and proprietary enhancements.

Nothing in these Terms grants ownership rights to users. All rights not expressly granted are reserved.

9. Database Rights and Directory Protection

BeautyNavigator has invested substantial resources, expertise, labor, research, editorial effort, and technological development into the creation, maintenance, organization, enhancement, verification, classification, and publication of its databases.

To the fullest extent permitted by law, BeautyNavigator claims all applicable database rights, compilation rights, copyright rights, trade secret rights, contractual rights, and intellectual property rights relating to its directories, databases, classifications, and information systems.

Users may not extract substantial portions of the database, reutilize substantial portions of the database, republish substantial portions of the database, replicate directory structures, build competing directories, create derivative databases, or commercialize database contents without prior written authorization.

10. User Submissions

Users may voluntarily submit information, corrections, updates, comments, feedback, suggestions, images, company profiles, event information, or other content to BeautyNavigator.

By submitting content, you grant BeautyNavigator a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, reproduce, publish, display, distribute, modify, translate, adapt, archive, and create derivative works in connection with operation of the Platform and related services.

You represent and warrant that you possess all rights necessary to provide such content. BeautyNavigator is under no obligation to publish submitted content and may remove or modify content at its sole discretion.

11. Communication Services

Where the Platform provides forums, comments, messaging systems, discussion boards, communities, reviews, or similar communication features, users agree not to harass, defame, or threaten others; post unlawful content; upload malicious software; violate intellectual property rights; collect personal information without authorization; engage in spam or unsolicited promotions; or distribute deceptive information.

BeautyNavigator reserves the right, but not the obligation, to monitor, review, edit, restrict, remove, or preserve content submitted through communication features. BeautyNavigator may disclose information when required by law, legal process, law enforcement requests, or legitimate protection of Platform rights.

12. No Marketing Consent

The inclusion of any company, organization, brand, supplier, retailer, distributor, manufacturer, professional, employee, executive, or contact within the Platform does not constitute consent to receive marketing communications, promotional emails, sales solicitations, telemarketing, automated messages, bulk email campaigns, or direct marketing.

Users are solely responsible for complying with all applicable anti-spam, privacy, telecommunications, direct marketing, and data protection laws. BeautyNavigator does not endorse, authorize, or assume responsibility for communications initiated by users of the Platform.

13. Third-Party Information Disclaimer

Information contained within the Platform may originate from public sources, third-party sources, voluntary submissions, company-provided information, historical records, trade show participation, editorial research, and other lawful sources.

BeautyNavigator does not guarantee that information contained within the Platform is complete, accurate, current, reliable, error-free, or continuously available. Business information may change without notice. Users are solely responsible for independently verifying information before relying upon it for business, legal, financial, commercial, or professional purposes.

14. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, BeautyNavigator disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and completeness.

BeautyNavigator does not warrant that the Platform will operate without interruption, be error-free, that defects will be corrected, that the Platform is free of viruses or harmful components, or that results obtained from use of the Platform will meet user expectations. Any reliance on information provided through the Platform is at the user's sole risk.

15. Limitation of Liability

To the maximum extent permitted by law, BeautyNavigator, its owners, affiliates, employees, contractors, licensors, suppliers, and partners shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, business opportunities, revenue, data, goodwill, business interruption, or reputational harm arising from or related to use of the Platform, inability to use the Platform, information contained within the Platform, third-party content, user-generated content, Platform availability, or Platform performance, even if BeautyNavigator has been advised of the possibility of such damages.

To the maximum extent permitted by law, BeautyNavigator's total liability shall not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations of liability. In such cases, liability shall be limited to the maximum extent permitted by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless BeautyNavigator, its owners, officers, directors, employees, contractors, affiliates, licensors, partners, agents, successors, and assigns from and against any claims, demands, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Platform, violation of these Terms, violation of applicable laws, misuse of information obtained through the Platform, infringement of intellectual property rights, unauthorized scraping or extraction of Platform data, or use of Platform information for marketing or solicitation purposes.

17. Enforcement and Termination

BeautyNavigator reserves the right, at its sole discretion, to restrict access, suspend accounts, remove content, block IP addresses, block networks or autonomous systems, implement technical restrictions, disable user functionality, preserve evidence of violations, pursue legal remedies, seek injunctive relief, recover damages, recover investigative costs, and recover attorneys' fees where permitted by law for any actual or suspected violation of these Terms.

BeautyNavigator may take such actions with or without prior notice.

18. Copyright and Intellectual Property Complaints

BeautyNavigator respects intellectual property rights and expects users to do the same. If you believe content available through the Platform infringes your copyright or other intellectual property rights, you may submit a notice containing identification of the copyrighted work, identification of the allegedly infringing material, contact information, a statement of good faith belief, and a statement made under penalty of perjury regarding ownership or authorization.

Notices should be directed to: legal@beautynavigator.com. BeautyNavigator reserves the right to remove allegedly infringing material pending review.

19. Governing Law

These Terms and any dispute arising from or relating to the Platform shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to conflict of law principles.

20. Exclusive Venue and Jurisdiction

Any dispute, claim, controversy, action, or proceeding arising out of or relating to these Terms, the Platform, Platform content, Platform services, user access, or user conduct shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on forum non conveniens or similar doctrines.

21. Injunctive Relief

You acknowledge that unauthorized scraping, automated access, database extraction, intellectual property infringement, misuse of Platform content, or violations of the artificial intelligence restrictions contained herein may cause irreparable harm to BeautyNavigator. Accordingly, BeautyNavigator shall be entitled to seek temporary, preliminary, and permanent injunctive relief, equitable relief, specific performance, and other remedies without the necessity of posting bond or proving actual damages.

22. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

23. No Waiver

The failure of BeautyNavigator to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

24. Entire Agreement

These Terms constitute the complete and exclusive agreement between BeautyNavigator and users concerning the Platform and supersede all prior or contemporaneous agreements, communications, representations, and understandings.

25. Changes to These Terms

BeautyNavigator reserves the right to modify, revise, update, supplement, or replace these Terms at any time. Updated versions shall be posted on the Platform with a revised effective date. Continued use of the Platform following publication of revised Terms constitutes acceptance of such revisions.

27. Trade Show, Event, and Industry Participation Information

BeautyNavigator actively participates in, attends, researches, covers, and reports on industry trade shows, exhibitions, conferences, networking events, and professional gatherings throughout the world.

Information published by BeautyNavigator may be obtained from trade show exhibitor lists, event directories, public exhibitor catalogs, product catalogs, public booth materials, company brochures, press kits, public presentations, industry conferences, networking events, business cards voluntarily provided, professional meetings, public demonstrations, industry award programs, event sponsorship materials, and publicly distributed promotional materials.

BeautyNavigator may organize, classify, enhance, enrich, standardize, archive, publish, and display information collected through lawful participation in such events. Participation in a public trade show, exhibition, conference, networking event, or similar industry event may result in inclusion within the Platform where information has been lawfully obtained and published for editorial, informational, business intelligence, research, networking, or directory purposes.

28. API Access and Future Services

BeautyNavigator may introduce APIs, data services, integrations, developer tools, feeds, exports, plugins, applications, software services, or other technology offerings in the future. Unless otherwise expressly agreed in writing, all such services shall remain subject to these Terms of Use.

The availability of an API, integration, export function, search feature, feed, or technical access mechanism shall not be interpreted as permission to scrape the Platform, create competing databases, perform bulk extraction, republish Platform content, train artificial intelligence systems, build derivative datasets, or circumvent usage limitations.

BeautyNavigator reserves the right to restrict API access, limit usage, require authentication, implement rate limits, charge fees, revoke access, and modify service availability at any time and for any reason.

29. Recovery of Attorneys' Fees and Costs

In any action, proceeding, claim, arbitration, dispute, or litigation arising out of or relating to these Terms, the Platform, Platform content, Platform services, user conduct, unauthorized scraping, database extraction, intellectual property infringement, artificial intelligence misuse, or violation of Platform restrictions, the prevailing party shall be entitled to recover its reasonable attorneys' fees, expert witness fees, court costs, investigative expenses, and other related costs and expenses to the fullest extent permitted by law.

This provision shall survive termination of these Terms and any user's access to the Platform.

30. Reservation of Rights for Text and Data Mining

BeautyNavigator expressly reserves all rights regarding text and data mining, automated extraction, machine learning, artificial intelligence training, retrieval systems, knowledge graph construction, embeddings, vectorization, and similar technologies.

BeautyNavigator may communicate its permissions, restrictions, and reservations through these Terms of Use, Privacy Policies, robots.txt, llms.txt, tdmrep.json, agent manifests, API policies, technical controls, and future machine-readable governance standards.

Any such technical, machine-readable, or policy-based restrictions shall supplement and reinforce these Terms. No license, consent, authorization, or waiver shall be implied from the public accessibility of the Platform. All rights not expressly granted are reserved by BeautyNavigator.

31. Survival

The provisions relating to intellectual property rights, database rights, artificial intelligence restrictions, automated access restrictions, indemnification, limitation of liability, governing law, venue, attorneys' fees, trade secret protection, and enforcement rights shall survive termination of user access and remain enforceable indefinitely to the maximum extent permitted by law.
